STANDARD TERMS AND CONDITIONS FOR ONLINE PURCHASES THROUGH Cetag Online Shops

This Agreement governs your online purchase of products from Cetag Online Shops, Ireland (“Cetag Online Shops”). Please read it carefully. No other terms and conditions apply. By submitting your purchase order, you are agreeing to these Standard Terms and Conditions for Online Purchases, which shall form the contract between you and Cetag Online Shops if a purchase order is accepted by Cetag Online Shops (“Standard Terms”). Cetag Online Shops is offering for sale certain Cetag Online Shops products to the purchaser (“Purchaser”) as selected by the Purchaser on the Cetag Online Shops Internet Store (“Store”). These Standard Terms shall apply to all sale transactions with Cetag Online Shops made through the Internet Store.

1. Definitions.

“Product” shall mean any Cetag Online Shops product offered for sale or license from Cetag Online Shops e-Shops located at http://www.Cetag Online Shops.ie(“Site”). “Price” shall mean the price listed for a Product on the Site as modified or amended by Cetag Online Shops from time to time. Prices are listed exclusive of VAT. Vat is added at point of purchaser adding product to cart.

.2. Order Acceptance by Cetag Online Shops/Acceptance of these Standard Terms by Purchaser.

Cetag Online Shops reserves the right to refuse any purchase orders for any reason or no reason, and purchase orders shall not be accepted by Cetag Online Shops until eShoppinCentre’ order confirmation by email. The terms and conditions of the Agreement between Purchaser and Cetag Online Shops shall be those stated in these Standard Terms, without any alteration and any inconsistent order information from Purchaser (the “Agreement”). Cetag Online Shops hereby rejects any additional or different terms and conditions proposed by Purchaser in any other purchase documentation. Orders received on Saturday, Sunday or public holidays usually will be processed on the next business day. Only purchase orders not yet processed and shipped can be canceled by contacting Customer Service by phone in Republic of Ireland. IF YOU DO NOT ACEPT THESE STANDARD TERMS, DO NOT SUBMIT AN ORDER.

3. Prices and Payment.

Prices are subject to change without notice. Unless otherwise indicated, the Price will be billed in full and charged to your credit card at the time of submission of the payment as provided for in Cetag Online Shops e-Shop. Purchases through Cetag Online Shops e-Shop may be made only by those credit cards or such other means as indicated in Cetag Online Shops e-Shop. eShoppinCentre will not accept checks, money orders or COD (cash on delivery. In the event that a Price stated on the Site is incorrect, the following shall apply: If a Product's correct Price is lower than Cetag Online Shops’ stated Price in Cetag Online Shops e-Shop, Cetag Online Shops will charge the lower Price and will ship Purchaser the Product. If a Product's correct Price is higher than eShoppinCentre’ stated Price in Cetag Online Shops e-Shop, eShoppinCentre will, at its discretion, either contact Purchaser for instructions before shipping or cancel the purchase order and notify Purchaser of such cancellation. If Purchaser cancels a purchase order, the charged amount will be credited to Purchaser's credit card account.

4. VAT.

Purchaser shall pay any and all taxes and/or duties on any of the sale or purchase of the Products, including without limitation all fines or penalties imposed by reason of Purchaser's failure to timely or properly pay any such taxes or duties or file any related returns. Cetag Online Shops is required by law to collect VAT (taxes). The appropriate tax (currently 21.5% in the Republic of Ireland) will be charged based on the "ship to" address. All products display prices excluding VAT and Including VAT.

5. Passage of Title, Shipping and Handling/Risk of Loss.

Title to and risk of the Products shall pass to the Purchaser when they leave the Cetag Online Shops warehouse, or warehouses of it’s partners, for shipment to the Purchaser. Product Prices do not include shipping, insurance and handling which shall be added to the Product Prices,at point of adding to cart. Cetag Online Shops will use its discretion in selecting a reputable carrier and appropriate means of shipment. Risk of loss, damage or theft to Products in transit is Purchaser’s. Cetag Online Shops does not guarantee specific ship or receipt dates. In the event of Product loss, damage or theft during transit, it is Purchaser’s responsibility to file a claim with EShoppinCentre.

6. Limited Warranty. Products carry a limited warranty.

Warranty on products is the warranty provided by Manufacturers’ and is usually indicated in product description in Cetag Online Shops e-Shop.

7. Return Policy.

Cetag Online Shops return policy allows for new, unused Products purchased via Cetag Online Shops e-Shop to be returned by Purchaser after obtaining a Cetag Online Shops return goods authorization (RE) number within the 30 day period following date of shipment by Cetag Online Shops for a refund of purchase price actually paid. Cetag Online Shops will not accept any return of any software that has been opened (taken out of its plastic wrap). If Purchaser has received damaged, defective or incorrectly shipped Products, please notify Customer Service within 7 days by using Cetag Online Shops e-Shop Contact Form and submitting information including product model, SKU number, serial number, if applicable, delivery note number/order number, phone/fax number, contact name, along with detailed explanation as to the reason for the return. The RE number will be faxed or emailed to Purchaser. RE are valid for 14 days from issuance only. A copy of the RE is to be included with the return shipment. RE numbers must be marked on the outside of the returned Product's container. Products must be returned in the original packaging. Shipping and handling charges for returns are not refundable. Damage and missing part restocking fees may apply. If the return of the Product is due to an error of Cetag Online Shops including the shipment of an incorrect Product, or a defective Product, or of a Product becoming defective within 14 days as of delivery date to the Purchaser, return shipping and handling charges shall be assumed by Cetag Online Shops. Purchaser is responsible for and must prepay all shipping charges and Purchaser shall assume all risk of loss, theft or damage to Product while in transit to Cetag Online Shops. If Purchaser returns a Product to Cetag Online Shops (i) without a RE , or (ii) beyond the 14 day issuance period, or (iii) without proper packaging, or (iv) which is used or damaged (except for Products that are defective on delivery or become defective within 14 days of delivery), Cetag Online Shops retains the right to either refuse delivery of such return or charge Purchaser a restocking fee. Credit will be issued upon receipt/inspection of returned goods to Cetag Online Shops and based on the original purchase price paid by Purchaser. Please allow up to four weeks for Cetag Online Shops to credit your account.

8. Products.

Cetag Online Shops continually updates and revises its Product range. Cetag Online Shops may revise and/or discontinue Products at any time. Changes in products shipped and products described on Cetag Online Shops websites and/or direct sales materials (ads, catalogs, specification sheets etc.) are possible any time. Cetag Online Shops Products are new unless specified otherwise.

9. No Resale;

Purchaser certifies and agrees that Purchaser is purchasing Product(s) for its own use only, or as a gift and not for resale or export

10. NO ADDITIONAL WARRANTY.

Cetag Online Shops DOES NOT MAKE AND EXPRESSLY DISCLAIMS ANY AND ALL OTHER CONDITIONS OR WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY CONDITIONS OR WARRANTIES OF ANY KIND BY Cetag Online Shops AND ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR APPLICATION, OR NONINFRINGEMENT OF INTELLECTUAL PROPERTY.

11. LIMITATION OF LIABILITY.

THE TOTAL LIABILITY OF Cetag Online Shops WITH RESPECT TO THE SALE OF THE PRODUCTS, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, SHALL NOT EXCEED THE PRICE OR SUCH LESSER AMOUNT THEREOF AS IS ACTUALLY PAID BY PURCHASER TO Cetag Online Shops FOR THE PRODUCTS OUT OF WHICH ANY LIABILITY ARISES. IN NO EVENT, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, SHALL ESHOPPINCENTRE BE LIABLE FOR SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFIT OR REVENUE, LOSS OF USE OF EQUIPMENT OR OTHER PROPERTY, COST OF CAPITAL, COST OF SUBSTITUTE GOODS, FACILITIES OR SERVICES, DOWNTIME COSTS, OR CLAIMS OF PURCHASER'S CUSTOMERS FOR DAMAGE OR LOSS TO PROPERTY WHICH IS NOT OWNED BY PURCHASER. ANY LIABILITY OF CETAG ONLINE SHOPS TO PURCHASER FOR ANY REASON SHALL BE REDUCED TO THE EXTENT THAT PURCHASER HAS INSURANCE COVERAGE FOR THE RELEVANT LOSS, INJURY OR DAMAGE.

12. Force Majeure.

Cetag Online Shops shall not be deemed to be in default of any provision of these Standard Terms or liable for any failure in performance resulting from acts or events beyond the reasonable control of Cetag Online Shops. Such acts shall include but not be limited to acts of God, acts of civil or military authority, civil war, terrorist attacks, riots, strikes, fires, changes in law or regulation and other events beyond Cetag Online Shops’ reasonable control. This Section shall not be an excuse for non-payment for or non-acceptance of Products.

13. Dispute Resolution.

In the event of a dispute, or claim arising out of or relating to these Standard Terms, Purchaser and Cetag Online Shops shall confer and attempt to resolve such dispute or claim between themselves. All disputes or claims which cannot be resolved by such good faith negotiations between the parties, shall be solely and finally settled by a panel of three (3) arbitrators. Each party will appoint an arbitrator within fifteen (15) days of the date of a request to initiate arbitration who will then jointly appoint a third arbitrator within fifteen (15) days of the date of the appointment of the second arbitrator, to act as Chairman of the arbitration tribunal. Any arbitration proceeding shall be held in Dublin, Ireland and the arbitration tribunal shall be required to render a decision within six (6) months of the date of the request to initiate arbitration. Any decision or award of the arbitrators shall be based solely on the provisions of this Agreement and the substantive laws of the Republic of Ireland. The arbitration shall be final and binding on the parties and not subject to any appeal. THE PARTIES HEREBY WAIVE TRIAL BY JURY WITH RESPECT TO ANY DISPUTE REGARDING Cetag Online Shops E-SHOP, THE SITE, OR ANY ORDER.

14. Applicable Law

This Agreement shall be governed by the laws of the Republic of Ireland.

15. Assignment.

Purchaser may not assign its rights and obligations under this Agreement, without the prior written consent of Cetag Online Shops, which shall not be unreasonably withheld.

16. Miscellaneous.

Neither Purchaser nor Cetag Online Shops shall be deemed to have waived any provision of this Agreement, unless such waiver shall be in writing and signed by such party. No waiver shall be deemed to be a continuing waiver unless so stated in writing. If any provision of this Agreement is deemed void or unenforceable, then to the maximum extent permitted by law, the remainder of this Agreement shall not be affected thereby. No amendment or modification of this Agreement shall be valid or binding upon the parties unless such amendment or modification is in writing executed by both Purchaser and Cetag Online Shops. This Agreement contains the entire agreement between Purchaser and Cetag Online Shops with respect to the online purchase of Products and supersedes any other or prior quotations, bids, proposals, understandings, correspondence and agreements, oral or written, between them.
